The roles of different Board Members

The board of directors also has different roles that are typically assigned to different board members. These roles include:

  • Chairman: The chairman is the leader of the board of directors. They are responsible for overseeing the board's activities and ensuring that it fulfills its fiduciary duties to the company's shareholders.

  • Vice chairman: The vice chairman is the second-in-command of the board of directors. They typically fill in for the chairman when the chairman is unavailable.

  • Lead independent director: The lead independent director is a non-executive director who is responsible for ensuring that the board is independent of the company's management team. They also work to ensure that the board is functioning effectively and that it is meeting its fiduciary duties.

  • Other board members: Other board members typically have specific areas of expertise that they contribute to the board. For example, a board member with a background in finance may be responsible for overseeing the company's financial reporting.

The specific roles that board members have will depend on the size and complexity of the company, as well as the industry in which the company operates.
